Introduction.
This Subscription Agreement ("Agreement") is entered into by and between CurEnt Group LLC, a Limited Liability Company with its principal place of business at 1925 Century Park E, Suite 1700, Los Angeles, CA, 90067 ("Company"), and the individual or entity subscribing to Company's services ("Subscriber"). Collectively, Company and Subscriber are referred to as the "Parties."

Subscription Services
Company agrees to provide Subscriber with access to the By Invitation Only List ("Services") as detailed in the corresponding invoice or order form.
02.
Term and Renewal
2.1 Initial Term: The initial term of this Agreement shall commence on the date of payment and continue until canceled, charging on an annual basis.
2.2 Renewal: This Agreement shall automatically renew annually ("Renewal Term") unless either Party provides written notice of termination at least 14 days prior to the end of the Initial Term or any Renewal Term.

Fees and Payment
3.1 Subscription Fee: Subscriber agrees to pay Company the subscription fee as specified in the invoice or order form, in accordance with the agreed-upon payment schedule.
3.2 Late Payments: In the event of late payment, the Company reserves the right to suspend access to the Services until all outstanding payments are received.

Termination
4.1 Termination for Convenience: Either Party may terminate this Agreement for any reason upon providing written notice to the other Party with 14 days' notice.
4.2 Termination for Cause: Either Party may terminate this Agreement immediately if the other Party breaches any material term or condition of this Agreement and fails to cure such breach within 14 days of written notice.

Confidentiality
Confidential Information:** Both Parties agree to keep confidential any non-public information shared during the course of this Agreement. This obligation shall survive the termination of this Agreement.
06.
Limitation of Liability
Disclaimer:** In no event shall either Party be liable to the other for any indirect, special, consequential, or punitive damages arising out of or related to this Agreement.
07.
Governing Law
Applicable Law:** This Agreement shall be governed by and construed in accordance with the laws of the state of California.
08.
Entire Agreement
This Agreement constitutes the entire understanding between the Parties concerning the subject matter herein and supersedes all prior agreements, representations, and understandings, whether written or oral.
09.
Severability
If any provision of this Agreement is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
10.
Waiver
The failure of either Party to enforce any provision of this Agreement shall not be construed as a waiver of such provision or the right to enforce it.

By paying the invoice the subscriber acknowledges and agrees to the terms and conditions set forth in this Subscription Agreement. The subscriber also agrees that they have read and understand fully all the language presented before them.
