Introduction

Welcome to the website of The CurEnt Group (“TCG,” “CurEnt Group,” “we,” “us,” or “our”), operated by The CurEnt Group LLC, a California limited liability company, and, in the United Kingdom, by CurEnt Group UK Ltd (together, the “Company”). These Terms of Service (the “Terms”) govern your access to and use of www.curentgroup.com (the “Site”) and any services, experiences, content, or programs made available through it (collectively, the “Services”).

By accessing the Site or using the Services, you agree to be bound by these Terms and any additional terms referenced herein or posted on the Site (collectively, the “Agreement”), as may be amended from time to time.

BY USING THE SITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU HAVE QUESTIONS, YOU SHOULD CONSULT LEGAL COUNSEL BEFORE USING THE SITE.

If you do not agree to these Terms, do not access the Site or use the Services.

In this Agreement, “you” and “your” mean the individual or entity accessing the Site or using the Services. By accepting these Terms, you represent that:

(i) you are acting only on your own behalf, or, if acting on behalf of a company or other entity, that you have authority to bind that entity; (ii) you will provide accurate, current, and complete information to CurEnt Group; (iii) you will not reproduce, duplicate, copy, sell, resell, distribute, publish, or otherwise commercially exploit the Site, Content, Offers, or Services without CurEnt Group’s express prior written consent, including by incorporating information from the Site into any other directory, product, or service; (iv) you will not use the Site or Services in a manner that adversely affects their availability to, or enjoyment by, other users, or that damages, disables, overburdens, or impairs CurEnt Group’s (or its service providers’) servers, networks, or systems; and (v) you will not use the Site or Services for any unlawful purpose or in any manner prohibited by this Agreement.

You further agree not to: (a) gain or attempt to gain unauthorized access to CurEnt Group’s systems or Services; (b) use the Site or Services in a manner not expressly authorized by CurEnt Group; (c) disrupt, damage, or impede the Site or Services; or (d) circumvent or attempt to circumvent CurEnt Group’s security mechanisms.

About Our Services

CurEnt Group is a global luxury experience company providing bespoke access, hospitality, and lifestyle experiences across sports, music, fashion, travel, art, food and wine, and event production, to private clients and corporate partners. Nothing on the Site constitutes an offer to sell securities or investment advice, and access to certain experiences, benefits, or programs described on the Site is subject to availability, qualification, and, where applicable, separate agreements as described below.

Electronic Contracting

Your use of the Site and Services requires the ability to enter into agreements and complete transactions electronically. You acknowledge that your electronic submissions constitute your agreement and intent to be bound by such agreements, and that this applies to all records relating to transactions you enter into through the Site, including cancellation notices, terms, policies, contracts, applications, and any amendments to the foregoing.

Right to Use Site Content

Subject to your compliance with this Agreement, CurEnt Group grants you a limited, non-exclusive, revocable license to view, share, print, or download Content (as defined below) from the Site for your own personal, non-commercial use. You are not granted any right to license, republish, distribute, copy, assign, sublicense, transfer, sell, or prepare derivative works from any Content, or to make any non-personal use of it. No part of the Content may be reproduced in any form or incorporated into any retrieval system, electronic or mechanical, other than for your personal use.

You may not use the Site in any manner that could damage, disable, or impair the Site or interfere with any other user’s enjoyment of it. You may create a hyperlink to the Site or its Content provided the link does not portray CurEnt Group or its products or services in a false, misleading, derogatory, or otherwise offensive manner, and does not imply sponsorship or endorsement by CurEnt Group without our consent.

You may not use automated systems (bots, scrapers, spiders, etc.) to access the Site. You agree not to collect personally identifiable information of other Site users or to sell or exploit such information. Except for the limited rights expressly granted here, all right, title, and interest in the Site and Content are reserved and owned by CurEnt Group.

CurEnt Group reserves the right to deny access to the Site, at its sole discretion and without notice, to anyone for any reason, including violation of this Agreement.

Changes to the Site, Services, and These Terms

CurEnt Group may change, modify, or discontinue the Site, Services, or any Content at any time without notice. We may revise these Terms at any time by posting an updated version on the Site. You are responsible for periodically reviewing these Terms. Changes are effective upon posting, and your continued use of the Site or Services after changes are posted constitutes acceptance of those changes. CurEnt Group reserves the right to charge fees for access to all or part of the Services, with advance notice to you of any such charge.

Purchases and Experiences (“Offers”)

You may purchase or request experiences, hospitality packages, tickets, and related goods and services through the Site, directly through CurEnt Group, or through our merchant and alliance partners (collectively, “Offers”). All Offers are subject to availability. All Offers are subject to applicable taxes and fees, including currency exchange charges, shipping costs, and similar fees. If an Offer is fulfilled outside your home country, you are responsible for all related foreign taxes, fees, and charges.

CurEnt Group reserves the right to modify the price of any Offer at any time prior to purchase confirmation. Some Offers may be gifted to a third party; others are non-transferable under their specific terms. Any non-transferable Offer that is transferred without authorization may be revoked by CurEnt Group or the applicable merchant or alliance partner at any time.

By purchasing an Offer or other product or service through the Program, you authorize CurEnt Group’s designated payment processor to charge the applicable payment method on file.

Cancellations, Returns, and Exchanges

Cancellation requests must be made in writing to joel@curentgroup.com. Due to the bespoke and time-sensitive nature of our experiences, CurEnt Group reserves the right to decline cancellation requests once an experience has been confirmed with suppliers or partners.

Due to the nature of our work, certain events and experiences may be non-refundable once confirmed. Where an experience is non-refundable, CurEnt Group will use commercially reasonable efforts to resell the package on the client’s behalf and to seek a refund from suppliers, though no outcome can be guaranteed. If a resale or supplier refund is successfully secured, you will receive a refund equal to the recovered amount, less a 10% administrative fee.

All Offers are non-refundable unless expressly stated otherwise at the time of sale. If an event is cancelled and not rescheduled, you will receive a full refund or credit toward a future purchase, at CurEnt Group’s discretion. If an event is postponed and rescheduled, your existing tickets or reservation will generally carry over to the new date. Except where replacement tickets are required, CurEnt Group does not provide refunds for postponed or rescheduled events, partial performances, or changes to venue, date, lineup, or time.

Presidents Club and Membership Programs

CurEnt Group may offer membership-based programs, including the Presidents Club, that provide qualifying clients with priority access, curated benefits, and enhanced service levels (“Membership Programs”). Participation in a Membership Program is subject to:

  • eligibility criteria and approval at CurEnt Group’s sole discretion;

  • a separate membership agreement, fee schedule, and/or benefits guide provided at enrollment, which supplements and, in the event of conflict, controls over these Terms as to Membership Program matters;

  • annual or periodic renewal terms as set out in the applicable membership agreement; and

  • CurEnt Group’s right to modify, suspend, or discontinue a Membership Program, or a member’s participation in it, at its discretion, including for breach of the membership agreement or these Terms.

Membership fees, where applicable, are described in the relevant membership agreement and are subject to the cancellation and refund provisions set out there, which may differ from the general Offer terms above.

B2B and Corporate Partnerships

CurEnt Group works with corporate partners to provide branded rewards programs, hospitality, and curated experiences to their clients, employees, or members (“Corporate Partnerships”). Corporate Partnerships are governed by a separate written agreement between CurEnt Group and the corporate partner, which will control the commercial terms, exclusivity, service levels, intellectual property, and confidentiality obligations of that relationship.

These Terms apply to a corporate partner’s and its designated users’ general use of the Site, but do not supersede the specific terms of any executed Corporate Partnership agreement. In the event of a conflict between these Terms and a signed Corporate Partnership agreement, the signed agreement controls with respect to that partnership.

Intellectual Property Rights

All content on the Site, including text, formatting, selection, coordination and arrangement of materials, images, graphics, animations, tools, widgets, applications, video, music, sound, articles, copy, creative materials, photographs, trademarks, service marks, trade names, and logos (collectively, “Content”), is protected by applicable intellectual property laws and is owned by CurEnt Group, its subsidiaries and affiliates, or used under license (collectively, with their respective licensors, “CurEnt Group Parties”).

Content may not be copied, reverse engineered, decompiled, disassembled, modified, reposted, framed, deep-linked, or otherwise distributed or transferred without CurEnt Group’s prior written permission. Nothing on the Site grants, by implication or otherwise, any license or right to make commercial use of any Content or Trademark without CurEnt Group’s prior written permission. Unauthorized commercial use of Content will violate CurEnt Group’s intellectual property rights and may be subject to legal action.

Copyright Complaints

CurEnt Group respects the intellectual property rights of others and expects Site users to do the same. If you believe material on the Site infringes your copyright, please send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(2)) to our designated agent at:

joel@curentgroup.com

We will respond to properly submitted notices and follow the takedown and counter-notice procedures set out in the DMCA.

User Submissions and Conduct

You may be able to submit comments, photographs, video, or other content to the Site (“User Submissions”). You are solely responsible for your User Submissions. By submitting them, you represent and warrant that:

  • the User Submission is your original work, or you hold all necessary rights, licenses, and consents (including from any individuals depicted) to submit it and to grant the license described below;

  • the User Submission does not infringe any third party’s copyright, trade secret, privacy, publicity, or other proprietary right; and

  • you will disclose any patents or pending patent applications you hold relating to the User Submission.

No confidential relationship or obligation of confidentiality is created between you and CurEnt Group by a User Submission, regardless of any statement to the contrary accompanying it.

License grant. By submitting a User Submission, you grant CurEnt Group a worldwide, perpetual, royalty-free, fully paid, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform and display, and create derivative works from the User Submission, in any media now known or later developed, for CurEnt Group’s business and marketing purposes. You waive any moral rights in the User Submission to the extent permitted by applicable law. Works created by CurEnt Group using a User Submission are owned by CurEnt Group and are not subject to your approval.

Merchants, Suppliers, and Alliance Partners

CurEnt Group works with merchants, suppliers, and alliance partners (including nonprofits) who may provide Offers available through the Site or directly. Such Offers are subject to their own terms and conditions and may change without notice. While CurEnt Group facilitates the sale of these Offers, the merchant, supplier, or alliance partner is responsible for the fulfillment, quality, and delivery of the underlying goods and services. CurEnt Group is not liable for any loss or damage arising from the cancellation or rescheduling of any event by a merchant or partner.

Contests, Sweepstakes, and Promotions

CurEnt Group may from time to time make you aware of contests, sweepstakes, or promotions offered by CurEnt Group or third parties. These are subject to their own official rules or terms and all applicable laws and regulations.

Third-Party Content and Links

The Site may contain third-party content and links to independent websites, included for your convenience. Such links do not constitute an endorsement, approval, or warranty by CurEnt Group. CurEnt Group is not responsible for the accuracy, completeness, or reliability of third-party content, or for products or services offered through linked sites, and you assume all risk in dealing with third parties. Leaving the Site subjects you to the privacy policy and terms of the destination site, which we encourage you to review.

Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

Indemnification

You agree to indemnify, defend, and hold harmless CurEnt Group, its business partners, and their respective officers, directors, employees, and affiliates from any liability, loss, claim, or expense (including reasonable attorneys’ fees) arising from: (i) your violation of this Agreement; (ii) your misuse of the Site or Services; or (iii) your violation of any third party’s copyright, intellectual property, or other rights in connection with your User Submissions.

Disclaimer of Warranties

CurEnt Group uses reasonable efforts to ensure Site content is accurate, but accuracy is not guaranteed, and CurEnt Group assumes no responsibility for the accuracy, completeness, or authenticity of Site content.

THE SITE, OFFERS, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, TITLE/NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. CURENT GROUP DOES NOT WARRANT THAT THE SITE WILL BE ERROR-FREE, THAT OFFER DETAILS ARE ACCURATE, OR THAT THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SITE IS AT YOUR OWN RISK. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL CURENT GROUP, ITS BUSINESS PARTNERS, OR THEIR RESPECTIVE AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF USE, BUSINESS, DATA, OR PROFITS, ARISING FROM YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CURENT GROUP’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CURENT GROUP FOR THE OFFER OR SERVICE GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED DOLLARS ($500). SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

CurEnt Group is not responsible for errors in Offer details or terms, or for any card fees or penalties you incur as a result of using the Services, including fees resulting from reversals. Any tax liability arising from your participation in the Services is solely your responsibility.

Force Majeure

An Offer may be delayed, rescheduled, or cancelled by CurEnt Group or the applicable merchant or partner due to events beyond reasonable control, including weather or other acts of God, fire, earthquake, flood, hurricane, tornado, drought, civil or military action, war, riot, accident, explosion, power failure, strike or labor dispute, delays in transportation or delivery, epidemic or pandemic, quarantine or embargo, public health emergency, terrorism or threat of terrorism, national or regional emergency, or disruption to computer hardware, networks, or software.

Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will first be addressed through good-faith negotiation between the parties. If not resolved within 30 days, the dispute will be resolved by binding arbitration administered by JAMS under its applicable rules, conducted in Los Angeles, California, before a single arbitrator. The arbitrator’s decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Arbitration will proceed on an individual basis only. You and CurEnt Group each waive the right to participate in a class, collective, or representative action, and the arbitrator has no authority to consolidate claims or preside over any class or representative proceeding. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction for infringement or misappropriation of intellectual property rights.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to the Dispute Resolution section above, any action arising out of or relating to these Terms or the Site that is not subject to arbitration (including actions to compel arbitration or enforce an arbitration award) will be filed only in the federal or state courts located in California, and you consent to personal jurisdiction of those courts and to service of process outside the jurisdiction.

Export Control

Content and software from the Site may be subject to U.S. export laws and the import laws of other countries. You are solely responsible for complying with all applicable export, re-export, and import control laws and regulations, including those administered by the U.S. Department of Commerce (Export Administration Regulations, 15 C.F.R. Parts 730–774), the International Traffic in Arms Regulations, and sanctions programs administered by the Office of Foreign Assets Control. You may not use, distribute, transfer, or transmit Content or software from the Site except in compliance with all applicable export and import laws.

General

You may not assign this Agreement. CurEnt Group may assign its rights and obligations under this Agreement at any time. If any provision is held unlawful, void, or unenforceable, that provision will be severed and the remaining provisions will remain in full force and effect. This Agreement, together with any Privacy Policy, membership agreement, or Corporate Partnership agreement referenced herein, constitutes the entire agreement between you and CurEnt Group regarding its subject matter. CurEnt Group’s failure to enforce any provision does not waive its right to do so later. This Agreement may be accepted electronically, and your acceptance is binding.
